By submitting a photo (together “Fan Content”) to the Sol3 Mio ‘Fan Photo’ campaign (the “Campaign”), you agree to the following terms and conditions:
- For good and valuable consideration, including the opportunity to be featured in the Campaign, you hereby grant to Universal Music New Zealand Limited (“UMNZ”) the non-exclusive right and license to incorporate and use the Fan Content, in whole or in part, in connection with the Campaign. You agree that UMNZ may edit and adapt the Fan Content, and may couple it with content submitted by others, for the purpose of creating materials relating to the Campaign, including but not limited to a music video (“UMNZ Content”).
- You understand that the Fan Content and any UMNZ Content into which it is incorporated may be duplicated, distributed, exhibited, and otherwise exploited, whether promotionally or commercially, in all manner and media now or hereafter known throughout the universe in perpetuity by us or any other party designated by UMNZ. However, you understand that neither UMNZ nor any other party are actually obligated to use your Fan Content or incorporate it into any UMNZ Content.
- You represent and warrant that you have, free and clear, all rights in and to the Fan Content, including, without limitation, the right to the image and likeness of any person contained in the Fan Content, necessary for the grant of rights to UMNZ without any further approval, monetary, or other obligations accruing on UMNZ, and that no use of the Fan Content will infringe on the rights of any other party, whether contractual, statutory, or common law. You agree to indemnify and hold UMNZ and our successors, assigns, and licensees and artists harmless from and against all claims, damages, liabilities, costs, and expenses arising out of any breach or alleged breach of the foregoing warranties. You understand that in no event will you be entitled to enjoin or inhibit any exploitation by UMNZ of the Fan Content or UMNZ Content, and you do not have the right to rescind this licence or any of the rights granted hereunder.
- These terms and conditions contains the entire agreement between you and UMNZ. We may freely assign this licence or any of the rights granted by you hereunder.
